Terms of Service
These terms govern your use of Amezly's platform, products, and services. Please read them carefully — they protect both you and us.

Definitions
Throughout these Terms, the following words have specific meanings:
Acceptance of Terms
By registering for an Amezly account, clicking "I Agree," accessing the Platform, or using any Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms or policies incorporated herein by reference.
If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" and "your" refer to that entity.
These Terms constitute a legally binding agreement between you and Amezly Technologies Private Limited. They supersede all prior agreements, representations, and understandings regarding your use of the Platform.
Eligibility
To use Amezly, you must meet all of the following eligibility requirements:
- Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher
- Have the legal capacity to enter into a binding contract under applicable law
- Not be a prohibited person under any applicable export control, sanctions, or anti-money laundering laws
- Use the Platform and Services only for lawful business purposes
- If representing a business entity, be duly authorised to act on its behalf
Amezly reserves the right to refuse service, terminate accounts, and cancel subscriptions at its sole discretion if we believe eligibility requirements are not met.
The Platform is currently offered primarily to businesses and individuals operating in or serving customers in India. Users outside India may access the Platform subject to compliance with their local laws.
Account Registration & Security
You must provide accurate, current, and complete information when creating your account. You agree to promptly update your account information to keep it accurate. Amezly reserves the right to verify any information you provide and to refuse registration or suspend accounts where information appears false, misleading, or incomplete.
You are solely responsible for:
- Maintaining the confidentiality of your login credentials (email address and password)
- All activity that occurs under your account, whether or not authorised by you
- Immediately notifying Amezly at security@amezly.com of any unauthorised access or security breach
- Ensuring that all team members added to your account comply with these Terms
Account Owners may invite team members (sub-users) with defined roles and permissions. The Account Owner is responsible for all actions taken by team members under their account. Team members must individually agree to these Terms. You must remove access for team members who leave your organisation promptly.
Each legal entity may maintain one primary Amezly account. Creating duplicate accounts to circumvent plan limits, free trial periods, or other restrictions is a material breach of these Terms and will result in immediate account termination without refund.
Subscription Plans & Features
Amezly offers the following subscription tiers. Current pricing is displayed on the Pricing page and may be updated from time to time with notice as described in Section 6.

Feature availability within each plan is as described on the Pricing page at the time of your subscription. Amezly may add, modify, or remove features from plans with 30 days' notice. Material downgrades to an existing paid plan mid-term entitle you to a pro-rated refund for the affected period.
Exceeding plan limits (e.g., conversation volume, email sends) may result in service throttling or overage charges. You will be notified before overage charges apply, and you may upgrade your plan to avoid them.
Payment, Billing & Taxes
Subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select at signup. Your billing date is the date on which you first subscribe (or the day after your Trial Period ends, if applicable).
We accept UPI, debit/credit cards (Visa, Mastercard, RuPay), and net banking through our payment processor. For Enterprise plans, we also accept bank transfers with a signed purchase order. All payments must be made in Indian Rupees (INR) unless otherwise agreed in writing.
If a payment fails, Amezly will attempt to re-process it up to three (3) times over seven (7) days. During this period, your account remains active. If payment is not received after three attempts, your account will be downgraded to a read-only state. You will have 14 days to resolve the payment before account suspension.
Amezly may change subscription prices with at least 30 days' written notice to your registered email address. Price increases apply at your next renewal date. If you do not agree to the new price, you may cancel your subscription before the renewal date and receive a pro-rated refund for the unused portion of your current billing period.
Subscription prices exclude Goods and Services Tax (GST). GST at the applicable rate (currently 18% for SaaS services) will be added to all invoices. You are responsible for providing accurate GST registration details (GSTIN) for B2B tax invoices. Amezly is not responsible for any other taxes, levies, or duties you may owe in your jurisdiction.
You may cancel your subscription at any time from the Billing section of your dashboard. Cancellation takes effect at the end of the current billing period — your access continues until that date. Cancellation does not automatically trigger a refund; please refer to our Refund Policy for eligibility.
Certain features (e.g., additional WhatsApp message credits, extra voice minutes, additional team seats) may be purchased as add-ons. Add-on charges are non-refundable once consumed. Unused add-on credits expire at the end of the billing month unless otherwise specified.
Free Trial
Amezly offers a 14-day free trial of the Growth plan to new accounts. The following terms apply:
- Only one free trial per business entity or person. Creating multiple accounts to access multiple trials is prohibited
- No credit card is required to start the trial
- At the end of the trial, your account automatically converts to a read-only Starter state unless you choose a paid plan
- Customer Data collected during the trial is retained for 30 days after trial expiry, giving you time to upgrade and retain your data
- Trial accounts are subject to lower API rate limits and may have certain enterprise features restricted
- Amezly may terminate a trial account at any time, for any reason, without notice or liability
Permitted Use of the Platform
Subject to your compliance with these Terms and payment of applicable fees, Amezly grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and Services solely for your internal business purposes.
Permitted use includes:
- Deploying the Amezly widget on your owned or operated websites
- Using the dashboard to manage leads, contacts, orders, and campaigns
- Communicating with your End Customers through AI chatbot, voice, WhatsApp, and email
- Accessing the API to integrate Amezly data with your own systems, within API rate limits
- Authorising team members to access your account under their own login credentials
- Exporting your Customer Data at any time via the dashboard export tools
All rights not expressly granted here are reserved by Amezly.
Prohibited Conduct
You agree that you will not, and will not permit others to, use the Platform or Services to:
- Violate any applicable law, regulation, or court order, including India's IT Act 2000, DPDPA 2023, Consumer Protection Act, or TRAI guidelines on commercial communications
- Send unsolicited commercial communications (spam) in violation of applicable law or WhatsApp/Meta/TRAI policies
- Engage in fraud, phishing, identity theft, or misrepresentation
- Process payment card data in a manner that violates PCI-DSS standards
- Reverse-engineer, decompile, or disassemble any part of the Platform
- Attempt to gain unauthorised access to Amezly's systems, networks, or other customers' accounts
- Introduce malware, viruses, or malicious code into the Platform
- Circumvent, disable, or interfere with security features or rate limits
- Scrape, crawl, or harvest data from the Platform using automated tools without written permission
- Use the Platform to benchmark or compete with Amezly in building a competing product
- Use the AI chatbot or voice agent to generate or disseminate content that is defamatory, obscene, hateful, violent, or discriminatory on the basis of race, religion, gender, caste, or other protected characteristics
- Impersonate any person, organisation, or government authority
- Make false medical, financial, or legal claims through the AI output
- Use the Platform to contact minors (under 18) for commercial or marketing purposes
- Resell, sublicense, or white-label the Platform or its output without a separate written Reseller Agreement with Amezly
- Allow third parties to use your account credentials to access the Platform
- Use the Platform on behalf of clients as a "managed service" without Amezly's written consent
Intellectual Property
The Platform, its source code, design, algorithms, AI models, training data, documentation, trademarks ("Amezly," "amezly.com," the Amezly logo), and all content created by Amezly are the exclusive property of Amezly Technologies Private Limited and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.
You retain all intellectual property rights in your Customer Data, your business content, and your brand assets uploaded to the Platform. By using the Platform, you grant Amezly a limited, worldwide, royalty-free licence to use, process, and display your content solely to the extent necessary to provide the Services to you.
If you provide feedback, suggestions, or ideas about the Platform ("Feedback"), you grant Amezly an irrevocable, worldwide, royalty-free licence to use that Feedback without restriction or compensation. We are not obligated to implement any Feedback.
Content generated by Amezly's AI (chatbot responses, email copy, voice scripts) does not vest any copyright in Amezly. You may use AI-generated output for your business purposes, subject to the restrictions in Section 13 (AI Disclaimer).
The Platform incorporates certain open-source software components. A list of third-party licences is maintained in our documentation. Nothing in these Terms restricts your rights under applicable open-source licences.
Your Content & Data
You own your Customer Data. Amezly does not claim ownership of any data, content, or information you submit or collect through the Platform.
You are solely responsible for:
- Ensuring you have all necessary rights, consents, and permissions to upload and process Customer Data through the Platform
- Obtaining valid consent from your End Customers for marketing communications, as required by DPDPA and TRAI regulations
- The accuracy and legality of all content you create or configure within the Platform, including chatbot scripts, email templates, and product catalogues
- Complying with all applicable data protection and consumer communication laws in your jurisdiction
You may export your Customer Data in CSV format at any time from the dashboard — at no additional charge. Amezly will retain your data for 90 days after account termination, during which you may request an export. After 90 days, data is permanently deleted per our Data Deletion Policy.
Amezly will not use your Customer Data to train its AI models or the AI models of any third party. AI training is conducted solely on Amezly's proprietary datasets and publicly available information, unless you have explicitly opted in to a model improvement programme in writing.
Data Processing & Privacy
Amezly processes your Customer Data as a Data Processor on your behalf, and you act as the Data Fiduciary with respect to your End Customers, as defined under India's Digital Personal Data Protection Act, 2023 (DPDPA).
By accepting these Terms, you also enter into Amezly's Data Processing Agreement (DPA), which is incorporated by reference. The DPA governs the processing of personal data and sets out obligations consistent with DPDPA 2023 requirements.
Amezly engages certain third-party sub-processors to deliver the Services, including OpenRouter (AI model inference), MSG91 (WhatsApp/SMS), Vobiz (telephony), and cloud infrastructure providers. A current list of sub-processors is maintained in our Privacy Policy. We will notify you of material changes to our sub-processor list with 14 days' notice.
Customer Data is stored and processed on servers located in India. Amezly does not transfer Customer Data outside India except as strictly necessary to deliver specific services (e.g., AI model inference via OpenRouter, which may involve processing on international infrastructure). All such transfers are governed by appropriate contractual safeguards.
Amezly implements industry-standard technical and organisational measures to protect Customer Data, including encryption in transit (TLS 1.3) and at rest (AES-256), access controls, audit logging, and regular security assessments. Details are in our Privacy Policy.
If your End Customer exercises their rights under DPDPA (access, correction, erasure, grievance), you are responsible for responding. Where technically feasible, Amezly will assist you in fulfilling such requests. Submit a support ticket to trigger a data subject rights workflow.
AI & Automated Output Disclaimer
The AI features within Amezly (chatbot responses, AI email copy, voice scripts) are powered by large language models (LLMs) provided by third parties (currently Llama via OpenRouter). These models may:
- Generate responses that are factually incorrect, incomplete, or outdated
- Produce content that is inappropriate or offensive in certain contexts
- Fail to understand nuanced regional, cultural, or linguistic contexts correctly
- Perform differently across languages — Hindi and English are best supported; other languages may have lower accuracy
You are responsible for reviewing, configuring, and supervising AI-generated content deployed to your End Customers. You must not deploy AI agents that:
- Provide medical diagnosis or prescribe medication
- Provide legal advice or create legally binding commitments on behalf of a professional
- Handle crisis situations (e.g., suicide risk, domestic violence) without appropriate escalation to human professionals
- Operate in regulated financial advisory roles without appropriate SEBI or RBI authorisation
Amezly maintains content filters on AI outputs. However, no content moderation system is perfect. You agree to report any harmful, illegal, or clearly incorrect AI output to trust@amezly.com, and Amezly will investigate and address it promptly.
WhatsApp & SMS Communication Services
Amezly provides WhatsApp Business API access via MSG91, an authorised Meta Business Solution Provider. Use of WhatsApp and SMS features through Amezly is subject to:
- Meta's WhatsApp Business Policy and Terms of Service
- TRAI Commercial Communication Regulations (Telecom Commercial Communications Customer Preference Regulations, 2018)
- MSG91's Terms of Service
- India's DPDPA 2023 requirements for consent in marketing communications
You must obtain explicit opt-in consent from your End Customers before sending them marketing or promotional messages via WhatsApp or SMS. Transactional messages (order confirmations, appointment reminders, OTPs) may be sent without prior marketing consent but must comply with TRAI guidelines.
WhatsApp Business API requires that all outbound message templates be pre-approved by Meta. Amezly will assist you in submitting templates, but you are responsible for ensuring template content complies with Meta's policies. Rejected templates are non-refundable for any submission fees paid to Meta.
WhatsApp Business API imposes tiered daily messaging limits based on account quality rating. Amezly will notify you when you approach your limit. Violations of Meta's messaging policies (e.g., high block rates, spam reports) may result in your WhatsApp number being restricted by Meta — a consequence outside Amezly's control.
WhatsApp charges per conversation (not per message) under Meta's pricing model. These costs are passed through to you at the rates published in your account's Billing section. Amezly adds no markup to Meta's per-conversation charges.
Voice AI Services
Voice AI services are provided via Amezly's integration with Vobiz telephony infrastructure. Use of voice services is subject to these additional terms:
All calls handled by the Amezly Voice AI Agent are recorded and transcribed. You must disclose to your End Customers at the start of each call that the call is being recorded. Amezly's default call opening includes this disclosure. Disabling or modifying the recording disclosure statement is prohibited.
Outbound calling campaigns must comply with TRAI's Do Not Disturb (DND) regulations and the National Do Not Call Registry. You are responsible for scrubbing your outbound calling lists against DND registries before initiating campaigns. Amezly provides tools to assist with DND scrubbing but does not guarantee DND list currency.
The Amezly Voice AI is not a substitute for emergency services. If an End Customer indicates an emergency, the AI is configured to provide the relevant emergency number (112 in India) and escalate to a human. You must not configure the AI to handle emergency situations without human oversight.
Voice minutes are counted from call answer to call termination, rounded up to the nearest minute. Unanswered calls, voicemails, and engaged tones are not charged. Unused included minutes do not roll over to the next billing period.

Amezly is not responsible for the availability, accuracy, or conduct of third-party services. Downtime or errors caused by third-party services do not constitute a breach by Amezly, and do not entitle you to refunds unless specifically stated in an applicable SLA. You must independently comply with the terms and policies of any third-party service you access through Amezly.
API Access & Usage
API access is available on Growth and Enterprise plans. API usage is subject to the following:
- Rate limits apply per plan tier (documented in the API Reference). Exceeding rate limits results in HTTP 429 responses; sustained abuse may trigger temporary or permanent API key revocation
- API keys must be kept confidential. You are responsible for all API calls made with your key
- Automated scraping of the Amezly dashboard (as opposed to legitimate API use) is prohibited
- Amezly may modify, deprecate, or discontinue API endpoints with 90 days' notice for breaking changes, or immediately for security or legal reasons
- Webhook endpoints you register must respond within 10 seconds. Amezly retries failed webhook deliveries up to 5 times with exponential backoff
Confidentiality
You agree to keep confidential any non-public information disclosed by Amezly, including pricing not publicly listed, product roadmaps, technical documentation marked confidential, and information shared during Enterprise negotiations.
Amezly agrees to keep your Customer Data and business information confidential and to use it only to provide the Services. Amezly employees who access your data are bound by confidentiality obligations. Amezly may disclose your information if required by law, court order, or regulatory authority — and will provide reasonable notice before doing so unless legally prohibited.
Confidentiality obligations do not apply to information that: (a) was already publicly known; (b) was independently developed without reference to confidential information; (c) was lawfully received from a third party without restriction; or (d) was required to be disclosed by law.
Warranties & Disclaimers
Amezly warrants that the Platform will perform materially in accordance with its documentation during your subscription period. Our sole obligation under this warranty is to use commercially reasonable efforts to correct reported defects.
EXCEPT AS EXPRESSLY SET OUT IN SECTION 19.1, THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Platform will be uninterrupted, error-free, or free of viruses
- Warranties regarding the accuracy, completeness, or timeliness of AI-generated content
- Warranties that the Services will meet your specific business requirements or deliver particular commercial results
- Warranties regarding third-party service availability (WhatsApp, Vobiz, OpenRouter, etc.)
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMEZLY'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE PLATFORM, OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- The total fees actually paid by you to Amezly in the twelve (12) months immediately preceding the event giving rise to the claim; or
- ₹5,000 (Indian Rupees Five Thousand) for Free or Trial plan users
IN NO EVENT SHALL AMEZLY BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, business, or goodwill
- Loss, corruption, or unauthorised access to Customer Data caused by your actions, third parties, or force majeure events
- Damages arising from third-party service failures (WhatsApp, telephony, payment processors)
- Damages resulting from your failure to maintain adequate backups or security measures
- Loss arising from inaccurate AI-generated content that you deployed without review
These exclusions apply whether or not Amezly has been advised of the possibility of such damages, and regardless of the legal theory under which the claim is brought (contract, tort, statutory, or otherwise).
Indemnification
You agree to indemnify, defend, and hold harmless Amezly Technologies Private Limited and its directors, officers, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation
- Your Customer Data or any content you upload, create, or deploy through the Platform
- Your End Customers' interactions with AI agents you deploy, particularly where you failed to configure appropriate guardrails
- Claims by your End Customers regarding marketing communications you sent using Amezly
- Your infringement of any third-party intellectual property, privacy, or data protection rights
- Any misrepresentation made by you regarding your authority to enter into these Terms
Amezly will notify you promptly of any claim subject to indemnification and will cooperate reasonably in the defence. You shall not settle any claim that imposes obligations on Amezly without Amezly's prior written consent.
Term & Termination
These Terms are effective from the date you first accept them and continue until your account is terminated by either party.
You may terminate your account at any time by cancelling your subscription and deleting your account from the Settings section of the dashboard. Account deletion is irreversible after the 14-day grace period. Termination does not entitle you to a refund of fees paid, except as provided in our Refund Policy.
Amezly may terminate your account:
- With 30 days' notice — for any reason, with a pro-rated refund of prepaid fees
- Immediately without notice — for material breach of Section 9 (Prohibited Conduct), non-payment, insolvency, or use of the Platform for illegal purposes
- Immediately — upon receiving a court order or regulatory directive requiring termination
Upon termination: (a) your access to the Platform ceases immediately; (b) your Customer Data is retained for 90 days and then permanently deleted unless exported; (c) clauses that by their nature survive (Sections 10, 11.3, 18, 19, 20, 21, 24, 25) remain in force; (d) all outstanding invoices become immediately due.
Suspension of Services
Amezly may suspend your account or access to specific features without terminating your account in the following circumstances:
- Overdue payment — after three failed payment attempts and 7 days' notice
- Security threat — if your account is compromised or is being used to attack other systems
- Platform abuse — if your usage is causing undue load on shared infrastructure
- Regulatory requirement — if we receive a regulatory directive, court order, or law enforcement request
- Violation investigation — while we investigate a reported breach of these Terms
We will provide reasonable prior notice of suspension where legally and technically possible. Suspension for overdue payment is lifted immediately upon payment. Suspension for security or abuse is lifted upon resolution of the underlying issue.
Dispute Resolution
In the event of any dispute arising out of or relating to these Terms, the Platform, or the Services, the parties agree to first attempt informal resolution. Please contact us at legal@amezly.com with a written description of the dispute. We will attempt to resolve it within 30 business days.
If informal resolution fails, disputes shall be finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be:
- Conducted by a sole arbitrator mutually appointed, or (if not agreed within 30 days) appointed per ICADR rules
- Held in Bangalore, Karnataka, India
- Conducted in English
- Subject to the substantive laws of India
Either party may bring an individual claim in the consumer forum or small claims court of competent jurisdiction, provided the claim does not exceed the jurisdictional threshold and is not consolidated with other claims.
YOU WAIVE THE RIGHT TO BRING OR PARTICIPATE IN CLASS ACTION LITIGATION OR CLASS-WIDE ARBITRATION against Amezly. All claims must be brought on an individual basis.
Notwithstanding the above, either party may seek interim or injunctive relief from the courts of Bangalore for any breach or threatened breach of intellectual property rights or confidentiality obligations.
Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to the arbitration clause in Section 24, the parties submit to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India for any matters not subject to arbitration.
If you access the Platform from outside India, you are responsible for compliance with local laws. The availability of the Platform in your jurisdiction does not constitute a representation by Amezly that use is legal in all jurisdictions.
Changes to These Terms
Amezly may update these Terms from time to time. When we make material changes, we will:
- Send an email to your registered address at least 14 days before the changes take effect
- Display a notice in the dashboard upon your next login
- Update the "Last updated" date at the top of this page
Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree, you may terminate your account before the changes take effect and receive a pro-rated refund of any prepaid subscription fees.
For non-material changes (typos, clarifications, link updates), we may update the Terms without prior notice. The current version is always available at this URL.
General Provisions
These Terms, together with the Privacy Policy, Refund Policy, Data Processing Agreement, and any applicable Order Form or Enterprise Agreement, constitute the entire agreement between you and Amezly regarding the Platform and Services, superseding all prior discussions, agreements, or representations.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Amezly's failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by Amezly to be effective.
You may not assign or transfer your rights or obligations under these Terms without Amezly's prior written consent. Amezly may freely assign these Terms in connection with a merger, acquisition, or sale of assets, with reasonable notice to you.
Neither party shall be liable for delays or failure to perform obligations due to causes beyond reasonable control, including natural disasters, acts of government, internet outages, power failures, or third-party infrastructure failures. The affected party will notify the other promptly and make reasonable efforts to resume performance.
Legal notices to Amezly must be sent in writing to legal@amezly.com or by registered post to our registered address in Bangalore. Amezly may send legal notices to your registered email address or the address on your account.
These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between Amezly and you. You are an independent business using Amezly's services.
